1. Acceptance of Terms
By accessing or using the Dvaarik AI platform, website (www.dvaarik.com), dashboard, AI receptionist service, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.
These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Dvaarik AI ("Dvaarik," "we," "us," or "our"), operated from Hyderabad, Telangana, India.
By creating an account, subscribing to a plan, or using the Service, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy.
2. Service Description
Dvaarik AI is a Software-as-a-Service (SaaS) platform that provides an AI-powered receptionist for Indian service businesses. The Service includes, but is not limited to:
- AI-powered customer conversations via WhatsApp and other messaging channels in Telugu, Hindi, and English
- Automated appointment booking and scheduling
- Payment collection via integrated payment gateways
- Customer relationship management (CRM) with automatic profile creation
- Daily business reports delivered via WhatsApp
- Staff and service management through an owner dashboard
- Automated review collection and feedback management
We reserve the right to modify, update, or discontinue any part of the Service at any time, with reasonable prior notice to active subscribers.
3. Eligibility
To use Dvaarik AI, you must:
- Be at least 18 years of age
- Be a resident of India or operate a business registered in India
- Have a valid and lawfully operating business
- Have the legal authority to enter into this agreement on behalf of your business
- Provide accurate and complete information during registration
We reserve the right to refuse service or terminate accounts that do not meet these eligibility requirements.
4. Account Registration
To access the Service, you must create an account by providing your name, business details, mobile phone number, and other required information. You are responsible for:
- Providing accurate, current, and complete registration information
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use of your account
You may not share your account credentials with third parties or create multiple accounts for the same business. We reserve the right to suspend or terminate accounts that violate these requirements.
5. Subscription & Pricing
- Pricing: Dvaarik AI offers multiple subscription plans:
- Starter Plan: ₹499/month — Chat AI receptionist, up to 200 bookings/month
- Growth Plan: ₹999/month — Chat + Voice AI, 60 voice minutes, up to 500 bookings/month
- Business Plan: ₹1,999/month — Everything in Growth + WhatsApp AI Channel, 120 voice minutes, up to 1,500 bookings/month
- Free Trial: New users receive a 14-day free trial with full access to all features. No credit card is required to start the trial.
- Auto-Renewal: Subscriptions automatically renew on a monthly basis. You will be charged on the same date each month.
- Cancellation: You may cancel your subscription at any time from your dashboard. Upon cancellation, you retain access to the Service until the end of the current billing period.
- Price Changes: We will provide at least 30 days written notice (via email or WhatsApp) before any price changes take effect. Price changes apply from the next billing cycle after the notice period.
- Taxes: All prices are exclusive of applicable GST or other taxes, which will be added to your invoice as required by Indian law.
6. Payment Terms
- Payment Gateway: All payments are processed securely through Razorpay, a PCI-DSS Level 1 compliant payment gateway.
- Accepted Methods: UPI, credit cards, debit cards, net banking, and supported digital wallets.
- Failed Payments: If a payment fails, we will attempt to process the payment up to 3 times over 7 days. If all attempts fail, your account may be suspended until payment is resolved.
- Invoices: Digital invoices are generated for every payment and are available in your dashboard.
- Refunds: Refunds are governed by our Refund Policy.
7. Acceptable Use
You agree to use the Service only for lawful purposes. You must not:
- Send spam, unsolicited messages, or bulk promotional content through the AI receptionist
- Provide misleading or false information about your business, services, or pricing to customers
- Use the Service for any illegal, fraudulent, or harmful activities
- Attempt to reverse engineer, decompile, disassemble, or derive the source code of the platform
- Scrape, crawl, or extract data from the platform using automated tools
- Interfere with or disrupt the integrity or performance of the Service
- Attempt to gain unauthorized access to other users' accounts or data
- Use the Service to collect personal data of end customers for purposes unrelated to your business operations
- Resell, sublicense, or provide the Service to third parties without our written consent
Violation of these terms may result in immediate suspension or termination of your account without refund.
8. Intellectual Property
Dvaarik's IP: The Dvaarik AI platform, including its software, AI models, algorithms, user interface, design, branding, documentation, and all related intellectual property, is owned exclusively by Dvaarik AI. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your subscription.
Your Content: You retain full ownership of all business data, customer data, content, and materials you upload or create through the Service. By using the Service, you grant Dvaarik a limited license to process, store, and display your content solely for the purpose of providing the Service.
The Dvaarik name, logo, and all associated trademarks are the property of Dvaarik AI and may not be used without our prior written consent.
9. Data Ownership
- Your Data: You retain full ownership of your business data and customer data at all times. This includes customer profiles, booking records, conversation transcripts, and payment records.
- Export Rights: You may export your data at any time through the dashboard in standard formats (CSV, JSON). Upon account termination, you have 90 days to export your data before it is deleted.
- Processing License: You grant Dvaarik AI a non-exclusive license to process, store, and use your data solely for the purpose of providing and improving the Service.
- Anonymized Data: Dvaarik may use anonymized, aggregated data (which cannot identify any individual or business) for platform improvement, analytics, and research purposes.
10. Service Level Agreement
- Uptime Target: We target 99.5% uptime for the Dvaarik AI platform, measured on a monthly basis. This excludes scheduled maintenance and force majeure events.
- Scheduled Maintenance: We perform maintenance during low-traffic hours (typically 2:00 AM – 5:00 AM IST). We will provide at least 24 hours advance notice for planned maintenance that may affect service availability.
- Incident Response: For critical service disruptions, we aim to acknowledge the issue within 1 hour and restore service within 4 hours.
- Notification: Service status updates will be communicated via email and/or our status page during any service disruption.
11. AI Disclaimer
Dvaarik AI uses artificial intelligence to power its receptionist service. While we strive for high accuracy, please be aware of the following:
- The AI may occasionally provide inaccurate, incomplete, or contextually inappropriate responses. This is an inherent limitation of current AI technology.
- As the business owner, you are responsible for reviewing and verifying AI responses, especially for critical business communications, pricing information, and medical or legal advice.
- Dvaarik AI does not provide medical, legal, financial, or professional advice. The AI is designed for reception and booking tasks only.
- You should regularly review your AI conversations through the dashboard to ensure accuracy and appropriateness of responses.
- We continuously improve our AI models, but we cannot guarantee error-free performance at all times.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- Dvaarik AI's total liability for any claims arising from or related to the Service shall not exceed the total subscription fees paid by you in the 3 months immediately preceding the claim.
- In no event shall Dvaarik AI be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, profits, business opportunities, data, or goodwill.
- Dvaarik AI shall not be liable for damages arising from missed bookings, incorrect AI responses, service interruptions, third-party service failures, or data loss beyond our reasonable control.
- This limitation of liability applies whether the claim is based on contract, tort, negligence, strict liability, or any other legal theory.
13. Indemnification
You agree to indemnify, defend, and hold harmless Dvaarik AI, its founders, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any applicable laws or regulations
- Any content or data you provide through the Service that infringes the rights of any third party
- Any dispute between you and your end customers relating to the Service
14. Termination
- By You: You may cancel your subscription and terminate your account at any time through your dashboard. Upon cancellation, you retain access until the end of the current billing period.
- By Dvaarik: We may suspend or terminate your account with 7 days written notice if you violate these Terms, engage in prohibited use, or fail to pay subscription fees after repeated attempts.
- Immediate Termination: We may terminate your account immediately without notice for severe violations including fraud, illegal activity, or actions that harm other users or the platform.
- Data Retention After Termination: Following termination, your data is retained for 90 days to allow for data export or account reactivation. After 90 days, all data is permanently deleted except for records required by law.
- Effect of Termination: Upon termination, your right to use the Service ceases immediately (or at the end of the billing period for voluntary cancellation). All provisions that by their nature should survive termination shall survive, including data ownership, limitation of liability, and dispute resolution.
15. Dispute Resolution
- Governing Law: These Terms are governed by and construed in accordance with the laws of India.
- Jurisdiction: Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.
- Informal Resolution: Before initiating formal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of 30 days.
- Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended. The arbitration shall be conducted in English, in Hyderabad, by a single arbitrator mutually agreed upon by both parties.
16. Force Majeure
Neither party shall be liable for any failure or delay in performing obligations under these Terms caused by events beyond reasonable control, including but not limited to: natural disasters, pandemics, government actions or regulations, internet outages, power failures, telecommunications failures, third-party service disruptions (such as WhatsApp, Razorpay, or cloud hosting providers), cyberattacks, wars, strikes, or civil unrest.
The affected party shall notify the other party promptly and use reasonable efforts to mitigate the impact of the force majeure event.
17. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable, while preserving the original intent of the parties.
18. Entire Agreement
These Terms, together with our Privacy Policy, Refund Policy, and any other policies referenced herein, constitute the entire agreement between you and Dvaarik AI regarding the use of the Service. These Terms supersede all prior agreements, representations, and understandings, whether written or oral.
No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to exercise any right under these Terms shall not constitute a waiver of that right.
